Overview

Join us in a pivotal role as the Deputy General Counsel driving and managing legal operations within the American College of Obstetricians and Gynecologists (ACOG). Partnering closely with the Chief Legal Officer and General Counsel, you'll oversee the full portfolio of work done by the General Counsel's Office and shape our organization's programs and initiatives aimed at supporting women's health, ensuring the sustainability of the profession of obstetrics and gynecology, and fighting for access to the full spectrum of reproductive healthcare.

As the Deputy General Counsel, you'll provide comprehensive counsel and strategic guidance to ACOG and the ACOG Foundation across a wide range of legal subjects, from artificial intelligence, contracts and litigation to privacy and intellectual property to ACOG's highly regarded amicus curiae practice focused on combatting legislative interference in the practice of medicine and the criminalization of essential reproductive healthcare, including abortion. Your expertise will be pivotal in advising committees, staff, and the Board of Directors, ensuring legal compliance and mitigating risks across all facets of our mission-driven endeavors.

The Deputy General Counsel serves as a strategic partner to ACOG programs and initiatives, negotiating and crafting a diverse array of contracts, from commercial leases to HIPAA agreements, providing legal and governance advice to ACOG's Board of Directors, and reviewing ACOG's policies, positions and clinical guidance documents. Strong legal judgment is essential for success in this role as you offer advice across the wide range of operations of separate but related nonprofit organizations and navigate complex legal landscapes.

Responsibilities
    Provide analysis, advice, and legal counsel to staff and volunteer leaders regarding legal aspects of ACOG's operations and programs. Work closely with members of every department within ACOG to ensure compliance with legal, regulatory, and contractual requirements and reduce risks to the organizations.
  • Negotiate, draft, and/or review contracts with a wide range of complexity, including commercial leases, hotel and events contracts, construction contracts, intellectual property licenses, publishing contracts, information technology contracts, consultant agreements, and HIPAA business associate agreements.
  • As directed by the CLO, provide analysis, advice, and legal services to the organizations' Boards of Directors, and districts and section leadership.
  • Serve as a legal resource for staff and volunteer leaders. Keep apprised of legal developments affecting the organization. Provide analysis, counsel and advice by interpreting laws, regulations, court decisions, and rules affecting the work of ACOG and the provision of women's healthcare.
  • Provide legal guidance to the Human Resource staff. Assist the CLO in addressing personnel issues. When necessary, assist in the development of performance improvement plans and probationary memoranda. Investigate complaints of alleged violations of organizational policies.
  • Provide legal advice regarding the structure and operation of ACOG's programs and initiatives to ensure compliance and minimize risk, including providing guidance in the development of policies and procedures.
  • Review or supervise the review of drafts of ACOG publications and communications before public release.
  • Assist the CLO in legal representation of the ACOG in litigation before administrative agencies and state and federal courts, including in connection with third-party subpoenas. Supervise outside co-counsel in such proceedings.
  • Support ACOG's amicus practice as needed in legal cases of importance to ACOG members and their patients, including cases involving restrictions on access to reproductive healthcare.
  • Provide leadership, direction, and management of legal department support staff, including fostering a welcoming and inclusive environment through supervising staff, providing feedback, coaching, support, mentoring, performance management, and training and development opportunities as appropriate.
  • Perform other duties as assigned.
Qualifications
  • Juris Doctor (JD) degree from an ABA-accredited law school.
  • Actively licensed and member in good standing of the District of Columbia Bar.
  • A minimum of 12 years of experience required.
  • 5 years of personnel management experience required.
  • Must have budget management experience.
  • Experience in health law or related area is preferred.
  • Ability to manage a wide range of legal issues.
  • Excellent verbal and written communications skills.
  • Excellent interpersonal skills and emotional intelligence
  • Excellent organizational skills and attention to detail.
  • Strong leadership skills.
  • Proficient with Microsoft Office Suite or other related software.
