At Generac, our success is powered by Our People.Job Summary: The paralegal supports the corporate legal department in general corporate legal matters, including matters associated with the company's public company compliance and corporate governance. The paralegal will assist in reviewing and drafting correspondence, contracts, and other legal documents, as well as performing legal research or other legal administrative matters as assigned.Essential Duties:Public Company Compliance:* Assist with the preparation and filing of routine SEC documents, including filings under Section 16 of the Exchange Act and Current Reports on Form 8-K, and other disclosure matters.* Assist with the completion of the company's NYSE listing requirements, including by completing annual and interim attestations.* Assist with the insider trading pre-clearance process.* Assist with the planning and execution of the annual meeting of shareholders.Corporate Governance:* Assist with matters related to the Board of Directors of the company, including the preparation of meeting materials and the preparation, dissemination and review of annual D&O Questionnaires.* Assist with public company corporate secretary matters, including the maintenance of director and officer files and Board/committee minute books.* Own and maintain corporate authority structure, including delegations of authority and powers of attorney.* Prepare and review documentation for intercompany transactions (including for non-U.S. subsidiaries), including by preparing intercompany agreements and corporate documentation, coordinating with local counsel, and coordinating with internal business partners.* Prepare corporate housekeeping documentation (e.g., minutes, written consents and a variety of officer certificates) for the company's domestic and international entities as needed for business initiatives.* Assist with matters related to the company's global compliance committee, including the preparation of committee meeting materials and general support of regulatory compliance matters as assigned.General Corporate Support:* Serve as an initial point of contact for internal requests for corporate documentation and general corporate support.* Assist attorneys with corporate transactions, such as M&A activity, real estate transactions, and financing programs, as needed, including integration and transition activity.* Coordinate the signature of corporate documentation by directors and officers.* Develop, maintain and continuously improve template documents and processes.* Conduct legal research as needed.* Legal records management* Litigation support including assisting with discovery requests, managing legal holds, etc.* Other duties as assignedMinimal Qualifications:* Associates Degree in Paralegal studies or related field or Paralegal Certificate* 5 years of experience managing corporate entities and corporate governance matters in an in-house department of a public corporation and law firmPreferred Qualifications:* Previous experience in a global manufacturing environment and publicly traded company preferredKnowledge and Skills:* Must be able to present a professional demeanor and maintain a high-level of confidentiality and discretion with respect to sensitive matters* Excellent time-management skills, ability to prioritize and manage workload* Ability to become a highly skilled user of matter and document management databases as well as Microsoft Office Suite* Excellent attention to detail and ability to manage shifting priorities.* Strong ability to communicate within all levels of the organization in professional manner, both verbally and written.* Demonstrated accountability and ability to work on multiple projects* Self-starter with a sense of urgency and ability to work independently and with a team* Experience supporting non-U.S. legal entities is a plusPhysical demands:While performing the duties of this job, the employee is regularly required to talk and hear; and use hands to manipulate objects or controls. The employee is regularly required to stand and walk. On occasion the incumbent may be required to stoop, bend or reach above the shoulders. The employee must occasionally lift up to 25 pounds.
